These are the “Terms & Conditions” of our Affiliate Program, and it is a legally binding agreement made between you, whether personally or on behalf of an entity, and us. This Agreement is effective as long as you participate in the Affiliate Program or until we discontinue the Affiliate Program whichever occurs first.

Definitions

When we say “we”, “us”, and “our”, we mean the “SecurityBot Entities” which refers to SecurityBot LLC, its parents, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors. When we say “Website” it refers to our Discord bot itself and the “use” of either means to purchase, use or access the bot in any way.

When we say “you” or “your”, we mean the individual or entity with a confirmed profile on Rewardful (the “Affiliate”) to be rewarded for purchases made by his/her Users. Every Affiliate is assigned a unique code (a “Reference ID”). The “Affiliate Link” is an internet hyperlink or web link pointing to the Website that contains an Affiliate’s Reference ID. A “User” is anyone who buys content on the Website after acting upon a recommendation made by the Affiliate and clicking on an Affiliate’s Link. The “Affiliate Cookie” is a web browser cookie left on a User’s web browser by the Website in response to the User’s clicking through an Affiliate’s Link.

Participation

By becoming an Affiliate and sharing your Affiliate Link, you agree that you have read, understood, and agree to be bound by all of these Terms & Conditions and our Privacy Policy. If you do not agree to these Terms & Conditions, you may not participate in the Affiliate Program, and you will not be entitled to any compensation or consideration, of any kind, for any of your User’s purchases.

Your participation in our Affiliate Program does not make you our agent, partner or representative.

You will have to agree to these Terms & Conditions before you receive your Affiliate Reference ID and you are responsible for regularly checking these Terms & Conditions, they can be found in the Affiliate dashboard through Rewardful.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms & Conditions, from time to time, without providing specific notice of each such change to you personally. We will alert you about any changes by updating the “Last Updated” date of these Terms & Conditions and posting about the occurrence of the update to your Affiliate dashboard through Rewardful. You agree that the preceding is sufficient notice of any change to the Terms & Conditions and waive any right to notice in any form other than the preceding. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms & Conditions by your continued use of your Affiliate Link after the date such revised Terms & Conditions are posted.

Rules of the Affiliate Program

The following are expressly prohibited:

• Self-referrals (i.e. signing up for the Website through your own affiliate link)
• Abuse, gaming, or attempting to mislead (i.e. posting fake discounts to coupon-sharing websites).
• Any form of unsolicited commercial emailing (commonly referred to as “spamming”) or the sending of emails that are misleading, spoofed, contain misleading subject lines, and/or contain inaccurate or misleading sender or recipient data.
• No search engine ads (especially on branded terms or domain names), Facebook ads or other ads that would compete with our own marketing and cause potential confusion for customers.
• No Facebook ads that link to our Website or anything similar that would compete with our own paid marketing and drive up our costs and potentially cause confusion.
• No pretending to be acting on behalf of us (i.e. as an employee).

We reserve the right to terminate your affiliate account for violation of any of the rules at our sole discretion. Commissions generated by mechanisms that are in violation of our Terms of Service will not be paid or owed.

Commissions

The Affiliates relationship between the Affiliate and its User is activated the first time the User clicks on the Affiliate’s Link resulting in the creation of the Affiliate Cookie and thereby identifying you as the Affiliate via your Affiliate Reference ID. When a User clicks on an Affiliate’s link, the Website attempts to store the Affiliate Cookie on the User’s web browser. If the User’s browser does not accept cookies, or if the Affiliate Cookie is removed or has expired, the User will not be identified as your User.

In order for Users to be recognized as your Users, and for User fees to accrue, Users must have an unexpired Affiliate Cookie in their browser when they complete their purchases. If the User makes a purchase within 60 days of the Affiliate activation, the Affiliate will be rewarded with a commission on said purchases by this User. If the User makes no purchase during this 60-day period, the relationship between the Affiliate and the User will expire. The Affiliate will be paid a commission equal to 30% of a User’s purchases to the extent said purchases are within the Affiliate Program. Commissions will be paid on a monthly basis, as such, commissions accrued during a specific month shall be paid within the first 10 days of the subsequent month via PayPal. In order to receive payment, you must provide a valid PayPal email address.

We may modify reward percentages and/or payment schedules at any time by changing or modifying these Term & Conditions. If we modify any percentage, only your commission earned after the effective date of change will be affected by the changed percentage.

The Affiliate’s ability to receive payments accrued under the Affiliate Program is further governed by the information specified during the Affiliate Program registration process, and subsequently edited by the Affiliate, after clicking through the acceptance of these Terms & Conditions and by complying with the same.

Liability and Indemnification

Notwithstanding anything stated or implied to the contrary, we , shall not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, goodwill or data) arising out of or related to these Terms & Conditions or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, aggregate liability for actual damages (or any other damages not otherwise specified herein) arising out of or related to this these Terms & Conditions and/or the Affiliate Program will not exceed the commissions paid or payable to you under to these Terms & Conditions or the Affiliate Program in the preceding 6-month period from the earliest date that your claim arose, which date in any event shall be no later than the date you notify us of any claim.

You agree to indemnify, defend and hold us harmless from and against any and all claims, liability, losses, costs and expenses (including lawyers’ fees) incurred by us in connection with any breach by you of these Terms & Conditions. We reserve the right, at your expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.
